Time Treasury general terms and conditions for vis-à-vis retail transactions and online purchasing on www.timetreasury.com.

These Terms and Conditions cover how we manage and process each Sale. Please review this document carefully to learn how these policies affect your experience.

These Terms and Conditions are formally addressed on the website www.timetreasury.com/legal/termsandconditions.

2. Definitions

Interpretation — The words of which the initial letter is capitalised have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

For the purpose of these Terms and Conditions, the following terms contain the following meanings:

“Account” means a unique account created for You to access our Website or parts of our Website such as the Webshop.

“Affiliate” means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

“Agreement” means a contract formation with respect to orders placed for Products or Services available by Time Treasury, concluded between the Company and the Consumer via the Webshop, Social Media or other Medium.

“Business Day” refers to a calendar day, other than Saturday, Sunday or a public holiday in the United Arab Emirates, on which the banking sector is open for business.

“Company” (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Time Treasury.

“Content” refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.

“Contract” refers to a formal and legally binding agreement concluded between the Company and the Consumer via the Webshop, Social Media or other Medium.

“Country” refers to United Arab Emirates.

“Device” means any device that can access the Website such as a computer, a cellphone or a digital tablet.

“Durable Medium” refers to any instrument, including email, which enables the Consumer to store information addressed to them in a way that it is accessible for future reference for a period of time adequate for the purposes of the information, and which allows the unchanged reproduction of the information stored.

“Feedback” means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.

“Intellectual Property Rights” (also referred as “IPR”) refers to all existing and future intellectual property rights, subsisting globally, whether registered or not (including but not limited to all patents, copyrights, trademarks, trade names, database and design rights, and all domain names, software, models, works, know-how rights and all rights in respect of any of the foregoing) relating to the Product, Services and the Time Treasury Website.

“Medium” refers to the sources, channels or networks such as the Website, Social Media, email, call, text or message, and other external third-party applications the Company recognises as endorsed methods of communication.

“Orders” mean a request by You to purchase Products or Services from Us.

“Parties” refers to Time Treasury and the Consumer collectively.

“Product” refers to the tangible goods Time Treasury produces and/or offers for sale under – inter alia – the (trade) name ‘Time Treasury’.

“Promotions” refer to contests, sweepstakes or other limited-duration promotions offered through the Website or other Mediums.

“Redemption” refers to refund or exchange resulting in immediate release and withdrawal, when initiated, from the existing designated Terms and thereon implementing a set of Terms and Conditions relevant to the current selection of Product.

“Retail Store” refers to the Time Treasury physical shop where vis-à-vis retail transactions occur in the presence of the representative staff.

“Sale” refers to a successful completion of a transaction – carried out as vis-à-vis or online via the Website by the Consumer to purchase a Product or Service from Time Treasury, its subsidiaries and affiliates.

“Service” refers to the intangible goods Time Treasury produces and/or offers for sale under – inter alia – the (trade) name ‘Time Treasury’.

“Social Media” means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Company.

“Subsidiary” refers to separate legal entities and corporations owned by Time Treasury as a parent company maintaining ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

“Terms and Conditions” (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between Time Treasury and the Consumer regarding the use of the Website.

“You” (referred to as either “the Consumer”) means the individual or a company, or other legal entity on behalf of which such individual is accessing or using the Service and/or enters into an Agreement with Time Treasury physically or via the Webshop, as applicable.

“Webshop” means the online store of Time Treasury containing articles intended for sale on the Website.

“Website” (also referred as the "Site") refers to the Time Treasury Website, accessible from www.timetreasury.com. The Website is the property of Time Treasury Inc. ("Time Treasury Watch Trading Co. L.L.C”) and its licensors.

3. Applicability

3.1 These Terms and Conditions contained herein on this page shall govern your use of the Time Treasury Website, and apply to each Agreement (and/or changes or additions thereto) for the sale and delivery of Products and Services concluded through Time Treasury or associated to and commissioned by its subsidiaries and affiliates (collectively, "Sales").

3.2 These Terms and Conditions also apply to and form an integral part of all quotations and offers presented by Time Treasury and all acceptances, acknowledgements and confirmations by Time Treasury of any orders made by the Consumer.

3.3 Terms and Conditions specifically related to a Product or Service in addition to these Terms will be explicitly stated in the offer of that Product including in the event of contradicting regulations, and the Consumer may invoke the applicable condition that is most favourable to the Consumer.

3.4 These Terms and Conditions supersede any previous terms and conditions for the sale and delivery of Products and Services concluded through Time Treasury.

3.5 The following terms also govern and apply to your use of the Site, and they are incorporated herein by this reference:

Each of these policies may be changed from time to time and are effective immediately upon posting such changes on the Site.

4. Acknowledgement

4.1 Each Product offered by and publicly listed for sale through Time Treasury is guaranteed for complete authenticity, including, but not limited to, originating from the manufacturing brand, containing the correct serial and reference, housing the described materials and components involved and all other parts related to the product and its exhibition.

4.2 Order confirmation through submission of payment including refundable and non-refundable deposits on behalf of a product confirms that the Consumer has read the terms and conditions and agrees to all of the policies. The Consumer acknowledges that they verify the product to be authentic and in proper functional order.

5. Content

5.1 All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork and computer code (collectively, "Content"), including but not limited to the design, structure, selection, coordination, expression, "look and feel" and arrangement of such Content, contained on the Site is owned, controlled or licensed by or to Time Treasury, and is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws.

5.2 Except as expressly provided in these Terms, no part of the Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including "mirroring") to any other computer, server, website or other medium for publication or distribution or for any commercial enterprise, without Time Treasury’s express prior written consent.

5.3 You may use information on Time Treasury products and services purposely made available by Time Treasury for downloading from the Site, provided that you (i) do not remove any proprietary notice language in all copies of such documents, (ii) use such information only for your personal, non-commercial informational purpose, (iii) make no modifications to any such information, and (iv) not make any additional representations or warranties relating to such documents.

6. Your Information

6.1 Time Treasury registers details and creates a profile for each Consumer upon a vis-à-vis retail store purchase and to place an order for Products available on the Website.

Consumers are required to provide legal identification and other information (KYC) in certain cases whereby deemed necessary by law.

6.2 You may be asked to provide certain information relevant to your Order including, without limitation, your name, email address, phone number, credit card number, the expiration date of the credit card, billing address, and shipping information. The company files all data collected from consumer profiles and provides to relevant legal authorities as per requirement.

6.3 You represent and warrant that: (i) You have the legal right to use any credit or debit card(s) or other payment method(s) in connection with the Order; and that (ii) the information you provide to us is true, correct and complete.

7. Accounts, Passwords and Security

7.1 Certain features or services offered on or through the Site may require you to open an account (including setting up an ID and password). You are entirely responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential. You agree to notify Time Treasury immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by Time Treasury or any other user of or visitor to the Site due to someone else using your ID, password or account or as a result of your failing to keep your account information secure and confidential.

7.2 You may not use anyone else’s ID, password or account at any time without the express permission and consent of the holder of that ID, password or account. Time Treasury cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

7.3 By submitting such information, you grant us the right to provide the information to payment processing third parties for purposes of facilitating the completion of the Order.

8. Contract Formation

8.1 Orders placed on our Site using the Webshop, Social Media or other Medium automatically forms a contract between Time Treasury and the respective customer.

8.2 Upon receiving the order, Time Treasury shall review the order and any additional requests; and respond with either denial (in case of unavailability - despite appearing on the Website, discontinuation of product, inventory shortage, incomprehension or complication, or any other cause specified at the time) or acceptance of order followed by an email or message using a telephonic medium containing (i) Payment details, and (ii) Dispatch information (an email, call or message confirming your order) at which point, upon payment (regardless of full or partial payment), the agreement between Time Treasury and the customer will be formed. Agreements do not exist in relation to the Products until Time Treasury confirms to you by email or message that the payment of the product has been completed (Payment Confirmation) and ready for dispatch (Dispatch Confirmation).

8.3 Our acceptance to your offer will be deemed complete and the contract between us shall be formed when you receive the Payment Confirmation message.

9. Offers, Orders and Availability

9.1 Offers are subject to availability. If a Product is out of stock, despite appearing on the Website or Social Media, Time Treasury may cancel a confirmed order.

9.2 Time Treasury will indicate on the selective mediums if an offer is of limited duration.

9.3 The material on the Time Treasury Website includes general information along with offers for the sale of Products. Obvious errors or mistakes in the offers do not bind Time Treasury.

9.4 Time Treasury reserves the right to reject or cancel an order, without being liable for any damages or costs in (among others) the following situations:

• The order is flagged by Time Treasury’s security systems as an unusual order or an order susceptible to fraud;
• The Consumer’s billing information is not correct or not verifiable;
• Negative history exists between the Time Treasury and the Consumer;
• Time Treasury has reasons to believe the Consumer is involved in crime;
• There was an error in the price displayed on the Time treasury Website;
• Time Treasury is unable deliver to the shipping address provided by the Consumer.

In such an event the Consumer will be informed by call, message or email and any payments with respect to the order will be refunded (after the subtraction of processing fees by the bank and other intermediary institutions).

10. Sourcing

10.1 Time Treasury offers sourcing products on order. Due to the difference in nature of each order, a specific set of terms of payment for the particular order including a non-refundable deposit and delivery of the product are set accordingly and concluded as per the order document.

10.2 Each order includes a pre-order form containing details regarding the authorisation of the order, the total payable sum divided into two stages; (i) initial deposit amount and (ii) final payment amount, estimated delivery time – officially (14) calendar days as well as the collection duration – officially (07) calendar days. Deposits may vary depending on the quantity of sum.

10.3 Special orders are marked accordingly on the sales receipt and a different set of policies apply to them. Products sourced beyond the regular catalogue of Time Treasury are not applicable for restock and exchange.

10.4 Orders sourced from overseas regions outside the local jurisdiction may be subject to the local tax of that specific area, and are subject to customs processing which may incur additional time period for clearance not under the control of the company. Time Treasury does not guarantee accurate information or successful clearance of the order by the customs department. Such orders are subject to the local import duties and taxes, and other clearance and handling charges predetermined and inclusive within the price.

11. Authentication, Service & Repair

11.1 Time Treasury provides other services for third-party purchases including product authentication, servicing and repair services under our in-house facility.

11.2 Services and repairs are only permissible for and applicable to vintage and neo-vintage watches from specific brands. Time Treasury provides a one-year warranty for the service upon conclusion.

11.3 Upon inspection, a quotation is provided comprising of the detail of the service, service fee, estimated cost of parts required and the duration of the service. Please note that cost of spare parts is separate from the cost of service and may vary depending upon several factors such as the cost price, availability and transportation charges including any import duties, levies and taxes. Quotations are approximate. Actual cost may be conveyed upon delivery.

11.4 Servicing incorporates time-graphing along with physical testing of the watch upon completion in order to verify the results. Complex and professionally advanced procedures such as pressure and altitude testing are charged separately.

11.5 Ultra-sonic cleaning and polishing are conducted upon request and are charged separately.

11.6 Each authentication is provided with a certification.

12. Prices, Taxes and Terms of Payment

12.1 The Company reserves the right to revise its prices at any time prior to accepting an order. 

12.2 The prices quoted may be revised by the company subsequent to accepting an order in the event of any occurrence affecting delivery caused by government action, variation in customs duties, increased shipping charges, higher foreign exchange costs and any other matter beyond the control of the company. In that event, the Consumer will have the right to cancel the order.

12.3 The sums payable to Time Treasury will be paid by the Consumer within (03) calendar days after the formation of the Contract, unless otherwise stated in the applicable additional Terms and Conditions of the invoice or receipt.

12.4 Time Treasury does not accept any other method of payment than the methods indicated in these Terms and Conditions. Time Treasury may change these payment methods at any time. All actual costs of payment will be passed on to the Consumer.

12.5 The Consumer bears the duty to inform Time Treasury of any inaccuracies in the  payment data stated or provided.

12.6 All prices quoted by Time Treasury are in AED (United Arab Emirates Dirhams). Value-Added Tax (VAT) of 5% is applicable on all sales. Time Treasury reserves the right to change the prices quoted on the Website without notice. Time Treasury will not be liable to the Consumer or any third party for the price changes.

12.7 Time Treasury accepts three different categories of payment methods in accordance to Retail Payment Services and Card Schemes (RPSCS) Regulation and Anti-Money Laundering and Combating the Financing of Terrorism (AML/CFT) as determined by the Central Bank of the United Arab Emirates. Payments received are subject to further verification and approval in favor of the rights of the consumer and the company.

• Cash — The company accepts cash in United Arab Emirates Dirham (AED). Acceptance of foreign currencies such as United States Dollars (USD), Pound Sterling (GBP) and Euro (EUR) or any other international currency is subject to authentication and immediate conversion at a regulated money exchange.
• Bank Transfer — Online payments by bank transfer (also referred to as wire/swift transfers) are accepted by all regulated local and international banks. Purchases are issued to the beneficiary upon successful clearance of the payment into Time Treasury’s legal corporate bank account at Mashreq Bank PJSC. Delays result in the product(s) being held by the company under its possession until successful release of payment.
• Debit and Credit Card — Debit or credit card payments are accepted through all major Visa and Mastercards charged physically at the Point of Sale (POS) system or on the Website integrated through Mashreq Bank PJSC. Payments processed through credit cards, regardless of the amount, are subject to processing fees and a mandatory signature of the receipt. In addition, a valid form of identity, permanent address and an operational phone number is collected to fulfill Know Your Customer (KYC) requirements.

12.8 Tourists visiting the country on a visit visa are required to provide their passport along with other personal details for legal compliance.

12.9 Credit cards from certain countries and conflicted areas may not accepted in order to protect the integrity of the business and to maintain fundamental compliance essential for sustained development and progression.

This receipt is provided upon successful settlement of funds against the product and/or service, after which the beneficiary is entitled to the ownership of the goods.

13. Promotions

13.1 Promotions made available through Time Treasury may be governed by rules that are separate from these Terms.

13.2 Vouchers, Gift Cards and other forms of discount codes issued by Time Treasury are subject to applicable timelines and terms and conditions, and are considered to be a part of our Promotional Campaigns. Such publications must only be utilised on this webpage.

13.3 If you participate in any Promotions, please review the applicable rules as well as our Privacy policy. If the rules for a Promotion conflict with these Terms, the Promotion rules will apply.

14. Shipping and Delivery

14.1 Shipping and delivery charges apply per each order. All costs in connection to shipment import and export duties and excise, as well as all other levies or taxes imposed or levied with respect to the Product, shipping and the customs clearance shall be at the Consumer’s expense. Such costs or expenses which have been paid by Time Treasury, shall be charged to the Consumer.

14.2 The ordered Product will be shipped to the Consumer within (03) calendar days after the confirmation of the order. In the event that multiple orders with the same shipping address are placed by the Consumer, these orders may be combined, unless otherwise requested by the Consumer. In such an event the Products will be shipped to the Consumer within (03) calendar days after the last order.

14.3 Instead of having the order shipped and delivered, the Consumer can decide to collect the order from the Time Treasury store in Dubai. If the Consumer decides to do this, the Consumer should indicate accordingly when placing the order on the Time Treasury Webshop.

14.4 When the Consumer has placed an order on a Business Day and has received an email confirmation before 5:00 PM GST, the order will be ready the same Business Day at:

14.5 The shipping and delivery terms indicated in these Terms and Conditions, on the Time Treasury Website or otherwise communicated by Time Treasury store are indicative and not guaranteed. If Time Treasury is unable to meet the (estimated) shipping date, Time Treasury will notify the Consumer accordingly. Time Treasury shall not be liable for any damages and costs arising out or in connection with delayed delivery.

14.6 Time Treasury ships to shipping addresses in the countries indicated on the Time Treasury Website. Time Treasury will deliver the Product at the shipping address specified in the order of the Consumer.

14.7 If the shipping address is located outside the UAE, the Consumer shall be responsible for assuring that the ordered Product can be lawfully imported.

14.8  Time Treasury is authorised to engage third parties in the fulfillment of its shipping and delivery obligations under the Agreement. All shipping services utilised by Time Treasury provide a tracking number along with insurance coverage.

14.9 Time Treasury retains the full and unconditional ownership of the ordered Product until the Product as well as all other claims of Time Treasury vis-à-vis the Consumer are paid in full. The Consumer shall in no event have a right of retention with regard to the Product. Time Treasury is entitled to repossess the Product if the Consumer fails to fulfill any of its obligations under the Agreement and/or if Time Treasury infers from the Consumer’s behavior or communication that the Consumer will fail to fulfill any of its obligations under the Agreement.

14.10 All risks in connection with the Product shall pass to the Consumer when the Product is delivered at the shipping address specified in the order of the Consumer. If the Consumer refuses or fails to take and/or accept delivery of the ordered Product, the Consumer will be charged the actual costs of shipping the Product back to Time Treasury.

15. Warranty 

15.1 All our watches are serviced prior to the sale and are provided with a one-year warranty from the date of receipt on the functionality of the movement, condition and authenticity.

15.2 Watches are provided to the Consumer after a complete inspection of the product and service where required. Time Treasury’s in-house professional watchmakers inspect, service and test each mechanical element as well as utilise the brands' manufactures.

15.3 All perishable products are produced in a quality-controlled environment throughout each stage of the process.

15.4 The Consumer is entitled to a cost-free check-up, service and overhaul in case of inaccurate or diminishing performance of the watch.

15.5 In the event the watch is miscarried or damaged otherwise including usage in an unsuitable environment causing a severe shock to its mechanism or pressure leading to leakage within the case immediately voids the validity of the warranty. Time Treasury shall provide a quotation for service and repair under such conditions which shall renew the warranty of the watch unless stated otherwise.

15.6 Time Treasury does not recognise a watch that has been altered and tampered-with, has had any parts replaced, or has been implemented on or handled by a third-party watchmaker to be covered under its warranty deemed immediately void upon damage or alteration of any form to the product.

15.7 Perishable products are not covered under warranty.

16. Right of Withdrawal

16.1 If you are a consumer, you have a legal right to withdraw from the Agreement within (14) calendar days. Within that period, if you change your mind or decide for any other reason that you do not want to keep or receive a product, you can notify us of your decision to cancel the contract and receive a refund, exchange or store credit.

16.2 Your legal right to cancel a contract exists from the start of the date of the Payment Confirmation, which is when the contract between us is formed. The withdrawal period will expire after (14) calendar days from the day on which the Consumer (or a third party indicated by the Consumer other than the carrier) acquires physical possession of the selected Product. In the event that several Products of the same order are delivered separately, the withdrawal period will expire after (14) calendar days from the day on which the Consumer (or a third party indicated by the Consumer other than the carrier) acquires physical possession of the last ordered Product.

16.3 If the Consumer exercises its right of withdrawal, the Consumer will return the Product to Time Treasury at its own risk and expense, by following the instructions on the Return Merchandise Authorisation, without undue delay and in any event no later than (14) calendar days from the day on which the Consumer communicated his decision to withdraw to Time Treasury. This deadline is met if the Consumer sends back the Product before the withdrawal period of (14) calendar days has expired. If the Consumer is located outside the UAE, the Consumer shall declare the returned Product as “Return of UAE Merchandise” on the customs declaration.

16.4 The Consumer shall return the Product with all delivered accessories and in the complete and original state and, to the extent possible, in its original packaging. During the withdrawal period, the Consumer shall handle and inspect the Product and the packaging with care, in the same manner as the Consumer would be allowed to do in a retail shop. The Consumer shall only unpack or use the Product to the extent necessary to establish the nature, the characteristics and the functioning of the Product. The Consumer shall be liable for any diminished value of the Product resulting from the handling other than what is necessary to establish the nature, characteristics and functioning of the Product. The risk and the burden of proof for the correct and timely exercise of the right of withdrawal lies with the Consumer.

16.5 The product(s) covered by the cancellation must be returned to us at the registered location. When returning items, we strongly recommended you to carefully pack all items and obtain proof of posting. We cannot accept any responsibility for parcels lost or damaged in transit.

16.6 You will not have any right to cancel a Contract for the supply of any Products in the following circumstances:

(i) Where by reason of their nature (and the manner in which you have taken care of them) the product(s) cannot be returned (for example, without limitation, any watches which have been unpackaged and treated in any way that renders it no longer marketable to other customers due to health and safety or hygiene reasons), and/or (ii) where the product(s) have been customised to your chosen specifications, (iii) the product is as described, intact, unimpaired and functioning as intended and expected.

16.7 Products that are not suitable for return due to health protection or hygiene reasons (such as perishable products of leather or clothing) and/or sealed Products that were unsealed after delivery cannot be returned or exchanged.

16.8 If the Consumer timely exercises its right of withdrawal, Time Treasury will reimburse the relevant payments received from the Consumer, including the costs of delivery and excluding the return costs, without undue delay and in any event not later than (14) calendar days from the day on which Time Treasury is informed of the Consumer’s decision to withdraw from the Agreement. The return costs will be deducted from the Consumer’s refund. In the event that the Consumer wishes to exchange the Product, no return and/or additional delivery costs will be charged. Time Treasury may withhold the reimbursement until Time Treasury has received the Product back, or until the Consumer has supplied adequate evidence of timely having sent back the Product, whichever is earliest. Time Treasury will carry out such reimbursement using the same means of payment as the Consumer used for the initial transaction, unless the Consumer has expressly agreed otherwise.

17. Termination and Cancellation

17.1 To cancel a contract and opt for a refund, you may contact the sales team through the designated platform of purchase, requesting a Return Merchandise Authorisation on the Time Treasury Website or sending an email to info@timetreasury.com within the withdrawal period. In order to meet the withdrawal deadline, it is sufficient for the Consumer to request a Return Merchandise Authorisation or send the unequivocal statement to Time Treasury before the withdrawal period has expired. You will receive a message stating that our sales team has received your cancellation. Cancellations are effective from the date we receive the cancellation message.

17.2 By cancelling your contract the company shall do either of the following:

(1) Refund you the price you paid for the products. However, please note; (i) the company is permitted by law to reduce your refund to reflect any reduction in the value of the goods, if this has been caused by the customer handling the product(s) in a way which would not be permitted; and (ii) when returning products on which you have received any promotional or other discount the refund will only cover the price you paid.

(2) Refund any delivery costs you have paid, although, as permitted by law, the maximum refund will be the costs of delivery by the standard delivery method offered by the company provided that this is a common and generally acceptable method.

17.3 If you provide us with evidence that the product has been sent back to us. Please note that it can take up to 10 days for us to receive your return, depending on which postal service you use. Refunds are usually processed upon receipt, although it may take up to a further week for the amount to show in your account.

17.4 Refunds in relation to products may only be credited to the credit or debit card, or bank account originally used to make the purchase. If we are unable to make a refund through on this card or account for any reason, we will contact you to discuss alternative arrangements. If you used vouchers to pay for the product we may refund you in vouchers.

17.5 If you decide to terminate the contract before the product(s) have been dispatched, you must agree to and accept delivery for product(s) for which the Payment Confirmation has been communicated along with the Dispatch information.

17.6 Unless the product is defective or not as described you will be responsible for the cost of returning the product(s) back to the company and bear the restocking fees. (This clause is only valid for products which are deemed to be returnable.)

18. Restocking, Returns and Exchange

18.1 Time Treasury accepts refund and exchange requests at our official communication channels as outlined in these Terms and Conditions.

18.2 Refund and exchange requests are accommodated according to the rules specified in detail within these Terms and Conditions.

18.3 Returns are accepted if the product or any part related to the product is proven to deviate from its original description or may not function as intended within the said warranty period.

18.4 Time Treasury provides a lifetime trade-to-upgrade policy for all its non-perishable products with available products, provided (i) the product in consideration is valued higher, (ii) the product being exchanged maintains the original condition.

18.6 Time Treasury grants restocking and purchase-back at 5% plus the general sales tax rate (VAT).

18.7 Products sourced on request, i.e special orders and merchandise consigned to Time Treasury by clients to be bartered are not subject to the trade-back policy. (See the Sourcing section for reference)

19. Complaints

19.1 Time Treasury wishes to point out that the Consumer can rely upon the legal guarantee of conformity of goods. The Consumer is obliged to closely examine the delivered Product upon the day on which the Consumer (or a third party indicated by the Consumer other than the carrier) acquires physical possession of the Product.

19.2 The Consumer shall inform Time Treasury of any complaints about defects and/or non-compliance with the specifications of the delivered Product, including but not limited to complaints in respect of visible defects and/or damages of the Product and/or the color of the Product. Any complaints shall be sent in writing to the following email address: info@timetreasury.com. The email shall contain a clear description of the complaint, the Consumer’s name, the order number included in the order confirmation and the serial number of the Product and shall be sent within a reasonable time after the discovery of the defects, but in any case no later than (7) days after the discovery of the defects.

19.3 Complaints submitted to Time Treasury will be replied within a period of five (5) Business Days, from the date of receipt of the complaint. The Consumer shall give Time Treasury all such assistance as Time Treasury may require for the purpose of examining the complaint. Time Treasury is only obliged to take complaints into consideration, if Time Treasury is given the opportunity to verify the complaint.

19.4 In the event of a timely, correct and justified complaint in accordance with this clause 19, the Consumer shall be entitled to either replacement or repair of the defective or non-conforming Product, or an appropriate credit for the purchase price of the Product.

19.5 The Consumer shall return the defective or non-conforming Product in its entirety to Time Treasury. The defective or non-conforming Product shall become Time Treasury property as soon as it has been replaced or credited. If you have returned the product(s) to back because they are defective or not as described, we will refund the price of the product(s) in full, together with any applicable delivery charges, and any reasonable costs you incur in returning the item to us.

19.6 A complaint that does not meet the requirements set out in this clause shall not be taken into consideration by Time Treasury, the Product shall be deemed to have no defects and conform to the specifications and does not release the Consumer from any of its obligations under the Agreement.

20. Prohibited Use

20.1 You may not use any process to access, acquire, copy or monitor any portion of the Site or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Site or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Site. Time Treasury reserves the right to bar any such activity.

20.2 You may not attempt to gain unauthorised access to any portion or feature of the Site, or any other systems or networks connected to the Site or to any Time Treasury products, or to any of the services offered on or through the Site by any illegitimate means.

20.3 You may not breach the security or authentication measures on the Site or any network connected to the Site. You may not seek to trace any information on any other user of or visitor to the Site, or any other customer of Time Treasury, including any Time Treasury account not owned by you, to its source, or exploit the Site or any service or information made available or offered by or through the Site, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Site.

20.4 You agree that you will not take any action that imposes an unreasonable or disproportionate damage on the infrastructure of the Site or Time Treasury’s systems or networks, or any systems or networks connected to the Site or to Time Treasury.

20.5 You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other person’s use of the Site.

20.6 You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to Time Treasury on or through the Site or any service offered on or through the Site. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.

20.7 You may not use the Site or any Content for any purpose that is unlawful or prohibited by these Terms and Conditions, or to solicit the performance of any illegal activity or other activity which infringes the rights of Time Treasury or others.

21. Privacy

21.1 Time Treasury’s Privacy Policy applies to the use of this Site, and its terms are made a part of these Terms and Conditions by this reference. Time Treasury will process personal details of the Consumer in accordance with the Privacy Policy statement published on the Website. To view Time Treasury’s Privacy Policy, please visit the Legal subpage on the Website. Additionally, by using the Site, you acknowledge and agree that internet transmissions are never completely private or secure. You understand that any message or information you send to the Site may be read or intercepted by others, even if there is a special notice that a particular transmission (for example, credit card information) is encrypted.

22. Intellectual Property

22.1 All Intellectual Property Rights shall remain the exclusive property of Time Treasury or its licensors. The Consumer acknowledges that it has no right, title or interest in, nor will it acquire or attempt to acquire any Intellectual Property Rights in its own or third parties’ name, or for its own or others’ behalf or act in any such way that may give the impression to third parties that the Consumer is proprietor of any of these Intellectual Property Rights.

22.2 The Consumer shall not copy or infringe any Products or (any part of) Time Treasury, nor (otherwise) use any Intellectual Property Rights, without Time Treasury’s prior written approval. The Consumer shall not cause or permit anything to be done which may damage or cause detriment to the Intellectual Property Rights, including but not limited to their validity, distinctive character and/or reputation.

22.3 Nothing in any Agreement and/or these Terms and Conditions shall be construed as conferring any license or granting any rights to the Consumer regarding any Intellectual Property Rights.

22.4 We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on the Website infringes a copyright or other intellectual property infringement of any person.

22.5 If You are a copyright owner, or authorized on behalf of one, and You believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Service, You must submit Your notice in writing to the attention of our legal department via email at legal@timetreasury.com and include in Your notice a detailed description of the alleged infringement.

22.6 You may be held accountable for damages (including costs and attorneys' fees) for misrepresenting that any Content is infringing Your copyright.

23. Trademarks

23.1 Time Treasury trademarks, service marks, trade names, and trade dress are the property of Time treasury protecting our corporate and brand identities registered by Ministry of Economy, Dubai, United Arab Emirates.

23.2 Use of Time Treasury’s trademarked logos for commercial purposes without the prior written consent of Time Treasury may constitute trademark infringement and unfair competition in violation of federal and provincial laws. Use of Time Treasury trademarks may be prohibited, unless expressly authorised.

23.3 Time Treasury grants its alliance partners, authorised resellers and licensees a limited-time special trademark usage authority to use the Time Treasury Logo in advertising, promotional, and sales materials as per the license agreement. Such authorised parties may use the Time Treasury Logo only as specified in their agreement with Time Treasury and any associated Guidelines and such use must always be in conjunction with the appropriate terms that define the relationship authorised by their contract with Time Treasury.

23.4 You acknowledge that Time Treasury is the sole owner of the “Time Treasury” trademark and that you will not interfere with Time Treasury’s use or registration of “Time Treasury” alone or in combination with other words. including challenging Time Treasury’s use, registration of, or application to register such trademark, alone or in combination with other words, anywhere in the world, and that you will not harm, misuse, or bring into disrepute any Time Treasury trademark. The goodwill derived from using any part of a Time Treasury trademark exclusively inures to the benefit of and belongs to Time Treasury. Except for the limited right to use as expressly permitted, no other rights of any kind are granted hereunder, by implication or otherwise.

23.5 You may use a Time Treasury word mark in connection with book titles, magazines, periodicals, seminars, or conferences provided you comply with the following requirements:

• The Time Treasury logo or any other Time Treasury-owned graphic symbol, logo, icon or image does not appear on or in the publication or on any materials related to the publication, seminar, or conference without express written permission from Time Treasury.
• A disclaimer of sponsorship, affiliation, or endorsement by Time Treasury, similar to the following, is included on the publication and on all related printed materials: “(Title) is an independent (publication) and has not been authorised, sponsored, or otherwise approved by Time Treasury Inc.”
• A trademark attribution notice is included in the credit section giving notice of Time Treasury’s ownership of its trademark(s). Please refer to the section below titled “Proper Trademark Notice and Attribution.”

23.6 Unauthorised use of Time Treasury trademarks:

1. Company, Product, or Service Name: You may not use or register, in whole or in part, Time Treasury, “TT” Signature or Timepieces of Horological Significance or any other Time Treasury trademark, including Time Treasury-owned graphic symbols, logos, icons, or an alteration thereof, as or as part of a company name, trade name, product name, or service name except as specifically noted in these guidelines.
2. Time Treasury Logo and Time Treasury-owned Graphic Symbols: You may not use the Time Treasury Logo (the cursive signature representing the initials of Time Treasury copyrighted name illustrated using a capital alphabet “TT” jointly-followed by the alphabet “TT” forming the signature of Time Treasury) or any other Time Treasury-owned graphic symbol, logo, or icon on or in connection with web sites, products, packaging, manuals, promotional/advertising materials, or for any other purpose except pursuant to an express written trademark license from Time Treasury, such as a reseller agreement. You must obtain express written permission from Time Treasury before using any photograph owned or licensed by Time Treasury.
3. Variations, Takeoffs or Abbreviations: You may not use an image of the Time Treasury signature or other variation of the Time Treasury logo for any purpose. Third-parties cannot use a variation, phonetic equivalent, foreign language equivalent, takeoff, or abbreviation of a Time Treasury trademark for any purpose.
4. Disparaging Manner: You may not use a Time Treasury trademark or any other Time Treasury-owned graphic symbol, logo, or icon in a disparaging manner.
5. Endorsement or Sponsorship: You may not use Time Treasury or any of its trademark, including Time Treasury-owned graphic symbols/logos, or icons, in a manner that would imply Time Treasury’s affiliation with or endorsement, sponsorship, or support of a third-party product or service. Time Treasury does not support the use of its logos, company names, product names, or images of Time Treasury products by other parties in marketing, promotional or advertising materials as their use may create the perception that Time Treasury endorses or sponsors the product, service or promotion. The reference to Time Treasury does not create a sense of endorsement or sponsorship by, or other false association with, Time Treasury or Time Treasury products.
6. Merchandise Items: You may not manufacture, sell or give-away merchandise items, such as T-shirts and mugs, bearing Time Treasury or any other Time Treasury trademark, including symbols, logos, or icons, except pursuant to an express written trademark license from Time Treasury.
7. Time Treasury’s Trade Dress: You may not imitate the distinctive Time Treasury packaging, web site design, logos, or typefaces.
8. Slogans and Taglines: You may not use or imitate a Time Treasury slogan or tagline. For example: “Wear History, Wear Vintage”, “Timepieces of Horological Significance”, “Purveyors of exceptional luxury vintage and neo-vintage timepieces”
9. Domain Names: You may not use an identical or virtually identical Time Treasury trademark as a second level domain name.

For further information with respect to Time Treasury’s copyrights, please submit your request in writing to the Copyright Team.

24. Limitation of Liability

24.1 Time Treasury Webshop shall in no event be liable to the Consumer for any indirect loss or damage arising out of or in connection with the Agreement, the sale of any Products by Time Treasury or the use thereof by the Consumer, whether or not such damage is based on tort, product liability, guarantee, statutory duty or otherwise, unless the damage is caused by intent or willful irresponsibility of Time Treasury.

24.2 Notwithstanding anything to the contrary in the Agreement or these Terms and Conditions, any aggregate liability of Time Treasury to the Consumer arising in connection with the Agreement or these Terms and Conditions, under any theory or ground whether in contract, tort, product liability, guarantee, statutory duty, or otherwise, shall in no event exceed the invoice value of the Product concerned (unless the damages is caused by intent or willful irresponsibility by Time Treasury or its managerial staff).

25. Indemnification

25.1 You agree to indemnify and hold Time Treasury, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against Time Treasury by any third-party due to or arising out of or in connection with your use of the Site.

26. Violation of These Terms and Conditions

26.1 Time Treasury may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) Time Treasury’s rights or property, or the rights or property of visitors to or users of the Site, including Time Treasury’s customers. Time Treasury reserves the right at all times to disclose any information that Time Treasury deems necessary to comply with any applicable law, regulation, legal process or governmental request. Time Treasury also may disclose your information when Time Treasury determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organisations for fraud protection purposes.

26.2 You acknowledge and agree that Time Treasury may preserve any transmittal or communication by you with Time Treasury through the Site or any service offered on or through the Site, and may also disclose such data if required to do so by law or Time Treasury determines that such preservation or disclosure is reasonably necessary to (i) comply with legal process, (ii) enforce these Terms of Use, (iii) respond to claims that any such data violates the rights of others, or (iv) protect the rights, property or personal safety of Time Treasury, its employees, users of or visitors to the Site, and the public.

26.3 You agree that Time Treasury may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Site. You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to Time Treasury, for which monetary damages would be inadequate, and you consent to Time Treasury obtaining any injunctive or equitable relief that Time Treasury deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Time Treasury may have at law or in equity.

26.4 You agree that Time Treasury may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies, (2) a request by you (self- initiated account deletions), (3) discontinuance or material modification of the Site or any service offered on or through the Site, or (4) unexpected technical issues or problems.

26.5 If Time Treasury does take any legal action against you as a result of your violation of these Terms of Use, Time Treasury will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to Time Treasury. You agree that Time Treasury will not be liable to you or to any third-party for termination of your access to the Site as a result of any violation of these Terms and Conditions.

27. Disclaimer

27.1 The invalidity or unenforceability of any provision of these Terms and Conditions shall not affect the validity or enforceability of any other provision of these General Terms and Conditions. Any such invalid or unenforceable provision shall be replaced or be deemed to be replaced by a provision that is considered to be valid and enforceable. The interpretation of the replacing provisions shall be as close as possible to the intent of the invalid or unenforceable provision.

27.2 Time Treasury reserves the right to unilaterally amend these Terms and Conditions at any time. In the event that the Terms and Conditions have been amended, Time Treasury will release a notice of this by stating on the Time Treasury Website that the Terms and Conditions have been amended, thereby indicating the date of such amendments.

27.3 Time Treasury may transfer, assign and/or pledge its rights and/or obligations under the Agreement to a third party. This will not affect the Consumer’s rights and obligations. The Consumer may only transfer, assign and/or pledge his/her rights and/or obligations under the Agreement to a third party upon written approval from Time Treasury.

27.4 Time Treasury does not guarantee that the Time Treasury Website or any content on it, will always be available or that access will always be uninterrupted. Access to the Time Treasury Website is permitted on a temporary basis. Time Treasury reserves the right to suspend, withdraw, discontinue or alter all or any part of the Time Treasury Website at any time as it sees fit without notice. Time Treasury shall not be liable for any reason due to which the Time Treasury Website is unavailable at any time or for any period.

27.5 The above disclaimer applies to any damages, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action.

27.6 Time Treasury reserves the right to do any of the following, at any time, without notice: (i) to modify, suspend or terminate operation of or access to the Site, or any portion of the Site, for any reason; (ii) to modify or change the Site, or any portion of the Site, and any applicable policies or terms; and (iii) to interrupt the operation of the Site, or any portion of the Site, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

28. Governing Law and Jurisdiction

28.1 These Terms and Conditions and any Agreement shall be exclusively governed by and construed in accordance with the laws of the UAE, excluding any conflict of law rules under UAE private international law.

28.2 The competent court in the UAE, shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms and Conditions and/or any Agreement without prejudice to the right of appeal and that of appeal to the Supreme Court.

29. Dispute Resolution

29.1 You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of United Arab Emirates and by the laws of the GCC without regard to its conflicts of laws provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in Dubai, United Arab Emirates, and waive any objection to such jurisdiction or venue. The preceding provision regarding venue does not apply if you are a consumer based in the European Union. If you are a consumer based in the European Union, you may make a claim in the courts of the country where you reside. Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. Claims made under the separate terms and conditions of purchase for goods and services are not subject to this limitation. No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to costs and attorneys’ fees. In the event of any controversy or dispute between Time Treasury and you arising out of or in connection with your use of the Site, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.

29.2 Disputes raised against orders on our website are controlled, handled and resolved by Time Treasury’s corporate account holder Mashreq Bank PJSC. Time Treasury does not, under any circumstance, entertain disputes and chargebacks requested directly through the payment processor.

29.3 This unauthoritative action will lead to a permanent cease of communication and all current and future transactions with the consumer or business involved on an immediate basis. Report of the prohibited withdrawal will be forwarded to Dubai Police and the case will be held up in Dubai Court of Law. During this tenure, the entity in question will be communicated the details of the report by lawyers at Time Treasury Legal Department.

29.4 Time Treasury is not liable for legal action commenced by the institution for unlawful reversal of payment and will not be held responsible in case of penalties i.e credit card blocking, account termination and assets freezing or other fines such as re-reversal processing charges imposed by the institution or a governmental body.

29.5 Failure to abide by the above-stated policies may result in immediate and permanent termination of transactions for the individual or business in question. In case of non-compliance, fraud, attempt of theft, provision of incorrect information or identification, or any other illegal method of manipulation the customer will be taken action against and held responsible in Dubai Court of Law.

30. Legal Compliance

30.1 You represent and warrant that (i) You are not located in a country that is subject to the United Arab Emirates government embargo, or that has been designated by the United Arab Emirates government as a “conflicted-infected or terrorist-supporting” country, and (ii) You are not listed on any United Arab Emirates government list of prohibited or restricted parties.

31. Void Where Prohibited

31.1 Time Treasury administers and operates the www.timetreasury.com Site from its location in Dubai, United Arab Emirates; other Time Treasury sites may be administered and operated from various locations outside United Arab Emirates. Although the Site is accessible worldwide, not all features, products or services discussed, referenced, provided or offered through or on the Site are available to all persons or in all geographic locations, or appropriate or available for use outside United Arab Emirates. Time Treasury reserves the right to limit, in its sole discretion, the provision and quantity of any feature, product or service to any person or geographic area. Any offer for any feature, product or service made on the Site is void where prohibited. If you choose to access the Site from outside United Arab Emirates, you do so on your own initiative and you are solely responsible for complying with applicable local laws.

32. Servability 

32.1 If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

33. Waiver 

33.1 Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Terms shall not effect a party's ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute a waiver of any subsequent breach.

34. Changes to these Terms and Conditions

Time Treasury reserves all rights, at its sole discretion, to change, modify, add or remove portions of these Terms and Conditions, at any time. It is your responsibility to check these Terms and Conditions periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, Time Treasury grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site.

35. Links to other Websites

This Site may contain links to other independent third-party Web sites ("Linked Sites"). These Linked Sites are provided solely as a convenience to our visitors. Such Linked Sites are not under Time Treasury’s control, and Time Treasury is not responsible for and does not endorse the content of such Linked Sites, including any information or materials contained on such Linked Sites. You will need to make your own independent judgment regarding your interaction with these Linked Sites.

36. Miscellaneous

36.1 You may not use or export or re-export any Content or any copy or adaptation of such Content, or any product or service offered on the Site, in violation of any applicable laws or regulations, including without limitation United Arab Emirates export laws and regulations.

36.2 If any of the provisions of these Terms of Use are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use, so that these Terms of Use shall remain in full force and effect. These Terms of Use constitute the entire agreement between you and Time Treasury with regard to your use of the Site, and any and all other written or oral agreements or understandings previously existing between you and Time Treasury with respect to such use are hereby superseded and cancelled. Other than as provided in a purchase agreement you enter into with Time Treasury, Time Treasury will not accept any counter-offers to these Terms of Use, and all such offers are hereby categorically rejected. Time Treasury’s failure to insist on or enforce strict performance of these Terms of Use shall not be construed as a waiver by Time Treasury of any provision or any right it has to enforce these Terms of Use, nor shall any course of conduct between Time Treasury and you or any other party be deemed to modify any provision of these Terms of Use. These Terms of Use shall not be interpreted or construed to confer any rights or remedies on any third-parties.

36.3 Time Treasury provides access to Time Treasury international data and, therefore, may contain references or cross references to Time Treasury products, programs and services that are not announced in your country. Such reference does not imply that Time Treasury in your country intends to announce such products, programs or services.

37. Feedback

37.1 You assign all rights, title and interest in any Feedback You provide the Company. If for any reason such assignment is ineffective, You agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.
